04

Our Site and services are intended for businesses, professionals, organizations, and individuals who have the legal capacity to enter into agreements.

If you are under 18, you may only use our services with the involvement and consent of a parent, legal guardian, business owner, or authorized representative who accepts responsibility for the agreement. We do not knowingly provide services directly to children.

06

Our Services

Webline Masters provides digital services that may include website design and development, WordPress development, custom website development, e-commerce store setup, website care and maintenance, hosting and managed hosting support, speed and security improvements, AI-powered automation and customer tools, landing pages, technical fixes, support, digital strategy, consulting, and related services.

The exact scope, timeline, price, deliverables, payment schedule, and responsibilities for each project or service will be described in a written proposal, invoice, statement of work, service plan, or other written agreement.

07

Proposals, Scope, and Acceptance

Any proposal, estimate, or quote we provide is based on the information available at the time it is prepared. A project or service begins only when we confirm acceptance and any required upfront payment has been received, unless otherwise agreed in writing.

The scope includes only items clearly listed in the proposal, invoice, or written agreement. Requests outside scope may require additional fees, timeline changes, or a separate agreement.

08

Client Responsibilities

You agree to provide accurate project information, required content, assets, access, timely feedback, approvals, legal rights to supplied materials, clear requirements, and payment according to the agreed schedule.

You are responsible for reviewing and approving deliverables, content, functionality, legal text, product information, pricing, and business information before launch or publication.

09

Payments and Invoices

Payment terms are set out in the relevant proposal, invoice, or agreement. We may require full payment upfront, a staged payment schedule, monthly upfront payment for recurring services, or a custom schedule agreed in writing.

We may pause work, delay delivery, restrict access, suspend services, or terminate recurring services if payment is late. Reactivation may require overdue amounts, renewal fees, third-party fees, and any applicable reactivation or restoration costs.

10

Third-Party Costs

Projects may require third-party products or services such as domains, hosting, paid plugins, themes, stock assets, fonts, APIs, email services, payment providers, automation tools, SaaS subscriptions, security tools, or backup tools.

Unless otherwise agreed, third-party costs are not included in our service fees and remain your responsibility. Third-party purchases are subject to the third party's own terms, refund policies, limitations, and availability.

11

Delivery, Review, and Approval

We make reasonable efforts to deliver work according to the agreed timeline. Timelines are estimates unless expressly stated as fixed deadlines in writing.

Final launch, handover, or transfer may be withheld until all due payments are received. If feedback is not provided within the agreed review period, work may be considered accepted for project management and billing purposes.

12

Revisions and Change Requests

Included revisions, if any, will be described in the proposal or agreement. A revision is a reasonable adjustment to work already within the agreed scope.

New features, new direction, new page structures, new integrations, major redesigns, or additional services are not included unless agreed. Out-of-scope work may be quoted separately.

13

Ownership and Intellectual Property

Unless otherwise agreed in writing, ownership of final client-specific deliverables transfers to you only after full payment has been received.

Webline Masters retains ownership of pre-existing code, tools, systems, workflows, templates, libraries, frameworks, methods, reusable components, internal processes, concepts, know-how, drafts, unused concepts, and rejected directions unless transferred in writing. Third-party assets remain subject to their own licenses.

14

Portfolio and Case Studies

Unless you request otherwise in writing or we are bound by a confidentiality agreement or NDA, you allow Webline Masters to display general project information in our portfolio, case studies, social media, proposals, and marketing materials.

We do not publish confidential business information, private credentials, sensitive data, internal systems, or detailed non-public project information without permission.

15

Confidentiality

Both parties may share confidential information during a project or service relationship. Each party agrees to use reasonable care to protect confidential information and not disclose it except as needed to perform services, comply with law, work with approved vendors, or enforce rights.

This does not prevent Webline Masters from using general knowledge, experience, skills, and reusable methods gained during the project, provided we do not disclose your confidential information.

16

Hosting and Managed Hosting Services

Webline Masters may help you purchase hosting, manage third-party hosting, provide hosting accounts on managed infrastructure, provide control panel access where available, and assist with setup, migration, DNS, SSL, backups, monitoring, and technical configuration.

Hosting services are subject to the applicable hosting plan, third-party provider terms, and our Hosting Service Level Policy. We may suspend hosting immediately for malware, phishing, spam, illegal content, fraud, resource abuse, security risk, unpaid invoices, or violations of these Terms.

17

Website Care and Support

Website care, maintenance, and support services are governed by the relevant plan, proposal, invoice, Website Care Terms, and agreed service details.

Support may include updates, monitoring, small fixes, backups, security checks, content updates, technical support, and recommendations depending on the plan. New features, major redesigns, new integrations, emergency recovery outside the plan, or work caused by third-party failures may require a separate quote.

18

Security, Backups, and Technical Risk

We take reasonable steps to build, maintain, and support secure digital systems, but no website, hosting account, plugin, server, integration, or online system can be guaranteed to be completely secure or permanently available.

Backups, monitoring, and restoration support depend on the plan or agreement. You should keep your own copies of important content, credentials, business records, customer data, and website materials.

19

SEO, Performance, Marketing, and Business Results

We may provide services related to SEO, performance, conversion improvement, analytics, advertising support, content structure, or digital strategy.

We do not guarantee specific rankings, traffic, sales, leads, revenue, advertising platform approval, permanent performance scores, error-free analytics, or specific business outcomes.

20

AI and Automation Services

AI-powered tools, chatbots, automation workflows, or related systems may produce incomplete, inaccurate, unexpected, or unsuitable outputs.

You are responsible for reviewing and approving AI outputs before using them for legal, financial, medical, contractual, public, or customer-facing decisions. We may suspend or modify automation systems if they create technical, spam, privacy, security, or platform policy risks.

21

Prohibited Services and Use

You may not use our Site, hosting, systems, tools, or services for illegal activity, fraud, phishing, malware, hacking, credential theft, spam, scams, counterfeit goods, copyright infringement, pirated goods, harassment, threats, violence, or any activity that violates platform rules, hosting provider rules, payment provider rules, or applicable laws.

We may refuse, suspend, or terminate services if we believe a project, website, user, or account creates legal, security, ethical, payment, or reputational risk.

22

Refunds and Cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy and the terms of the relevant proposal, invoice, or agreement.

Setup fees, completed work, third-party purchases, custom work, technical fixes, strategy work, audits, and development time may be non-refundable once work has started or been performed. Monthly services are usually paid in advance and cancellation usually takes effect at the end of the current billing cycle.

23

Suspension and Termination

We may suspend or terminate access to services, hosting, support, or deliverables for overdue payment, violations, prohibited activity, security or legal risk, missing access or approvals, third-party suspension, or unreasonable operational burden.

Termination does not remove your obligation to pay amounts owed for work performed, services provided, third-party costs, or approved expenses.

24

Third-Party Platforms and Links

Our Site or services may involve third-party platforms, tools, links, APIs, plugins, integrations, or services.

We are not responsible for third-party availability, pricing, support, security, policies, errors, data handling, or changes. Your use of third-party services is governed by their own terms and privacy policies.

25

No Professional Advice

Information on the Site, in audits, in reviews, or in communications is provided for general business, technical, design, marketing, and operational guidance.

It is not legal, financial, accounting, tax, medical, or regulated professional advice. You should consult qualified professionals where professional advice is required.

26

Disclaimers

The Site and services are provided on an as available and as applicable basis.

We do not guarantee that the Site will always be available, services will be uninterrupted or error-free, every issue can be fixed, third-party services will continue to work, your website will be immune from attacks or failures, or specific rankings, traffic, sales, leads, or revenue will be achieved.

27

Limitation of Liability

To the maximum extent permitted by law, Webline Masters, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, data, business interruption, goodwill, or substitute services.

Our total liability for any claim related to the Site or services will not exceed the amount you paid to Webline Masters for the specific service giving rise to the claim during the three months before the event that caused the claim, unless a different limit is required by law or agreed in writing.

28

Indemnification

You agree to indemnify and hold harmless Webline Masters, LLC, its owners, team members, contractors, vendors, and representatives from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Site or services, your website or business activity, your violation of these Terms, your violation of law or third-party rights, materials or instructions you provide, prohibited activity, or claims from your customers, users, partners, employees, or providers.

29

Force Majeure

We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, war, government actions, internet outages, hosting provider failures, cyberattacks, labor disruptions, payment provider issues, platform outages, power failures, or similar events.

30

Changes to These Terms

We may update these Terms from time to time and will change the Last Updated date when we do.

Your continued use of the Site or services after updated Terms are posted means you accept the updated Terms. Material changes will not retroactively change specific commercial terms already agreed for active paid projects unless required by law, agreed in writing, or necessary for security, legal, or operational reasons.

31

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Before formal legal action, both parties agree to make a good-faith effort to resolve disputes informally by written communication. If unresolved, disputes will be handled in state or federal courts located in Delaware unless a separate written agreement requires another process.

32

Electronic Communications

You agree that we may communicate with you electronically by email, website notices, invoices, messages, WhatsApp, live chat, or other reasonable communication channels.

You are responsible for keeping your contact information accurate and monitoring the communication channels used for your project or service.

33

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms as part of a business transfer, merger, acquisition, restructuring, sale of assets, or change in service providers.

34

Severability

If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue in full force and effect.

The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable where possible.

35

Entire Agreement

These Terms, together with related policies, proposals, invoices, statements of work, and written agreements, form the entire agreement between you and Webline Masters regarding the Site and services.

No waiver of any term will be considered a continuing waiver unless stated in writing.
